Webflow Community Grants Program Terms and Conditions

Thank you for your interest in Webflow’s Community Grant Program (the “Program”). If you have submitted a Grant Application (“Application”) to Webflow, Inc. (“Webflow”) as part of the Program, these terms govern your Application for a Webflow Community Grant and the Application process (“Application Terms”). Please note that BY SUBMITTING AN APPLICATION TO THE PROGRAM, YOU HEREBY ACKNOWLEDGE AND ACCEPT THESE APPLICATION TERMS, WITHOUT MODIFICATION BY YOU. If you do not agree to the Application Terms, do not submit a Grant Application to Webflow. You agree to the following:

A. Privacy Notice. 

The Application for a Webflow Community Grant requires you to provide personal information about yourself or the entity/organization you are submitting an Application on behalf of, including but not limited to: first and last name, job title, email address, phone number, country location or other personal data as expressly requested in the Application. All information received by Webflow in an Application will be subject to Webflow’s Privacy Policy located here: https://webflow.com/legal/privacy (“Privacy Policy”). Webflow’s Privacy Policy is incorporated into and made a part of the Application Terms by this reference, and by submitting an Application you acknowledge that you have reviewed and agree to Webflow’s Privacy Policy.

B. Eligibility

You must be at least 13 years or older to submit an Application. If you are age 13 or older but under the age of 18, or the legal age of majority where you reside if that jurisdiction has an older age of majority, then you agree to review these Application Terms with your parent or guardian to make sure that both you and your parent or guardian understand and agree to these Application Terms. You agree to have your parent or guardian review and accept these Application Terms on your behalf. If you are a parent or guardian agreeing to these Application Terms for the benefit of a child over the age of 13, then you agree to and accept full responsibility for that child’s Application. 

Employees, temporary workers, and independent contractors of Webflow, and members of the immediate family (parents, children, grandparents, grandchildren, spouse or siblings and their respective spouses, regardless of where they reside) of those persons, whether or not related, are not eligible to participate in the Program. 

Webflow reserves the right in its sole discretion to determine the recipients of a Webflow Community Grant based on the eligibility and criteria established by Webflow. 

C. Grant of Rights

Applications will not be treated as confidential, so please carefully consider the information you submit. By submitting an Application, you grant Webflow and its designees a non-exclusive, worldwide, royalty-free, perpetual, unrestricted, irrevocable and fully sublicensable right and license to consider, disclose, use, re-use, reproduce, modify, digitize or enhance, adapt, change, edit, publish, translate, create derivative works based upon, distribute, redistribute, and/or display your Application (in whole or in part) and/or incorporate all or part of the respective Application in other works all in a manner and in any form, format, or media now known or hereafter devised, as well as in connection with any distribution or syndication arrangement with third parties or third-party sites, in any media format or medium and through any media channels now known or hereafter devised and for any purpose, including but not limited to for advertising and promotion, without further notice or compensation to or permission from you or any third party. Webflow and its respective designees have the right to use any and all Applications, any any and all elements appearing in any Application, including but not limited to names, likenesses, symbols and phrases of any kind for future advertising, marketing, commercial, promotion and publicity in any manner and in any medium now known or hereafter devised, throughout the world, in perpetuity without further notice or compensation to or permission from you. You hereby waive any and all “moral rights” you may have in your respective Application.

Webflow is in no way obligated to use any Application as described in the foregoing paragraph and you may or may not be given any credit or attribution if your Application is subsequently used or if you are declared as a recipient of a grant. You agree to waive all claims to receive any royalties or fees of any kind now or in the future from Webflow and its designees for any use of any Application, including copyright or trademark royalties and each applianct represents, warrants and agrees that no other party is entitled to claim any royalties or fees from the use of your Application as set further in these Application Terms.

By submitting an Application, you represent and warrant that: (i) your Application is original and your own work, (ii) your Application does not infringe or violate any third party’s rights, including copyright, trademark, patent, trade secret, defamation, privacy, publicity, false light, idea misappropriation, contractual or other rights; (iii) your Application is true, accurate and verifiable and is an expression of your personal experience and/or beliefs; (iv) your Application is not copied from any other source and that you did not use the works of others in your Application without permission or right to do so; and (v) no other persons other than you have any right, title or interest in any part of the Application. Webflow reserves the right to require applicants to provide proof of statements made in Applications, in a form acceptable to Webflow. Failure of an applicant to provide any such requested proof of statements as requested by Webflow may result in disqualification from consideration for a grant. 

D. Grantee Notification Conditions

If you are selected as a recipient of a Webflow Grant under the Program, you will be notified by telephone, mail and/or email and will be required to complete a Grant Agreement and any other documents required by Webflow, which must be returned within the time period specified in the notification. Return of a grant notification as undeliverable, failure to sign and return requested documentation, specifically including the Grant Agreement, within the specified time period, the inability of Webflow to contact you within a reasonable time period or noncompliance with these Application Terms may result in disqualification. You agree not to release any publicity or other materials on your own or through another person or entity regarding receipt of a Webflow without the prior consent of Webflow.

E. Indemnification; Disclaimers

You agree to release, indemnify and hold harmless Webflow and its respective parent companies, affiliates, and advertising/promotion agencies and all of their respective officers, directors, agents, employees and representatives (collectively, “Released Parties”) for any damage, loss or liability to person or property, due in whole or part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a Webflow Grant under this Program or Released Parties’ use of any Application. Any and all disputes, claims and causes of action arising out of or connected with the Program, or any Webflow Grant awarded, shall be resolved individually, without resort to any form of class action. 

WEBFLOW AND ITS AFFILIATES DISCLAIM ALL LIABILITIES, LOSSES, JUDGMENTS, COSTS, DAMAGES, EXPENSES (INCLUDING REASONABLE ATTORNEY’S FEES) DIRECT OR INDIRECT ARISING OUT OF OR RELATED TO THE SUBMISSION OF AN APPLICATION TO WEBFLOW OR PARTICIPATION IN THE PROGRAM BY ANY PERSON FOR ANY PURPOSE.  NO WARRANTY OR GUARANTY OF ANY KIND ARISES AS A RESULT OF ANY PARTY’S PARTICIPATION IN OR RELIANCE ON WEBFLOW OR THE PROGRAM UNDER APPLICABLE LAW, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR PURPOSE, WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY, OR OTHER WARRANTY OF QUALITY, WHETHER WRITTEN, ORAL, EXPRESS OR IMPLIED. BY PARTICIPATING IN, AGREEING TO AND ELECTRONICALLY SUBMITTING AN APPLICATION TO WEBFLOW, YOU AGREE THAT YOU HAVE, READ, UNDERSTAND, ACKNOWLEDGE AND ACCEPT THE ABOVE LIMITATIONS.   

F. Release and Verification

In exchange for the opportunity to be awarded a Webflow Community Grant or other contract, you agree that Webflow may, in its sole discretion: (1) amend or cancel the Program, in whole or in part, at any time; (2) extend the deadline for submitting an Application; (3) determine whether an Application does or does not substantially comply with the requirements of the Program; (4) waive any minor irregularity, informality or nonconformance with the provisions or procedures of the Program; (5) issue multiple grants; (6) share Applications with Webflow staff, consultants, contingent workers, service providers, subject matter experts, and potential co-funders; and (7) copy the responses in the Application.  

You agree not to bring a legal challenge of any kind against Webflow relating to Webflow’s selection and award of a grant or contract arising from Webflow’s Community Grants Program.

You represent that you have submitted your Application with complete honesty and accuracy. If facts provided in your Application change, you will supplement your Application in writing with any deletions, additions or changes within ten (10) days of the changes, as necessary. You understand that any material misrepresentation, including omissions, may disqualify you from consideration for a Webflow Grant.

By submitting an Application, you are representing: (i) that you have authority to bind the named applicant to these Application Terms, without amendment; and (ii) that you agree to be bound by them.
