NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THE SWEEPSTAKES IS OPEN WORLDWIDE TO PERSONS WHO ARE 18 YEARS OF AGE OR OLDER, EXCEPT FOR RESIDENTS OF: BRAZIL, QUEBEC, CRIMEA, DONETSK, LUHANSK, CUBA, IRAN, SYRIA, AND NORTH KOREA AND INELIGIBLE PERSONS AS SPECIFIED IN SECTION 4. BY ENTERING THE SWEEPSTAKES, YOU AGREE TO THESE TERMS, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SWEEPSTAKES ENTITIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.
- SPONSOR: The Sweepstakes is sponsored by Webflow, Inc. a Delaware corporation with a principal place of business at 398 11th St. Fl. 2, San Francisco, California, 94103, USA. (“Webflow” or “Sponsor”).
- ENTRY TIME FRAME: June 12, 2024 1 PM ET - August 31, 2024 11:59PM ET.
- HOW TO ENTER: Entrants must fill out the web form at the link provided by Webflow during each livestream. There will be three ( 9 ) live streams during the Entry Time Frame.
- ELIGIBILITY: The Sweepstakes is open worldwide to persons who are 18 years of age or older (or the age of legal majority, if older), except for residents: Brazil, Quebec, Crimea, Donetsk, Luhansk, Cuba, Iran, Syria, and North Korea and ineligible persons described in the following paragraph.
Persons in any of the following categories are NOT eligible to participate in the Sweepstakes: (a) Sponsor’s directors, members, partners, marketing affiliates, employees, consultants or agents and their respective affiliates, and each of their respective companies, subsidiaries, advertising and promotion agencies, (b) suppliers of goods or services in connection with the Sweepstakes, including individuals engaged in the development, production or distribution of materials for the Sweepstakes; (c) persons who (i) are in the immediate family of any person in any of the preceding categories (including mother, father, sister, brother, daughter, son, spouse, grandmother, grandfather, children or grandchildren), regardless of where they live, or (ii) reside in the same household, whether related or not, as any person in any of the preceding categories; (d) persons or entities under U.S. export controls or sanctions. All eligibility is subject to all national, provincial, municipal, territorial, federal, state and local laws and regulations. By participating in the Sweepstakes, you unconditionally accept and agree to comply with and abide by these terms and the decisions of Sponsor, whose decisions shall be final and binding in all respects. - ENTRY RULES: Each entrant may submit up to one
If Webflow reasonably determines that an entrant has submitted more than ( 1 ) submission per livestream whether by manual process or by automated means (e.g. automated program or bot) Webflow may, in its discretion, disqualify the entrant from the Sweepstakes and any previously awarded prizes may be rescinded. - DRAWING: Sponsor will conduct a random on or about the last calendar day of June, July, and August 2024, to select the winners from among all eligible entries received. Three ( 3 ) total winners will be selected for the Sweepstakes: one ( 1 ) in June, one ( 1 ) in July, and one ( 1 ) in August. Odds of winning depend on the number of entries received. Potential winners will be notified via email and must sign and return any required documentation required by Sponsor within fourteen (14) calendar days of the date notice is sent or such other date set by Sponsor. Failure to respond within the applicable time period may result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of prizes are the responsibility of the winners. By entering these Sweepstakes, entrants accept and agree to these terms and the decisions of the Sponsor, which shall be final in all matters. Acceptance of a prize shall additionally constitute permission from the winner to Sponsor to use the winners’ name and likeness for marketing purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply.
- LIMITATION OF LIABILITY: By entering this Sweepstakes, entrants waive all right to, and hold the Sponsor harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys’ fees) arising out of or in connection with participation in this Sweepstakes or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Sponsor will not be responsible for: late, incomplete, or incorrect entries; an entrant’s failure to receive prize notices due to entrant’s spam, junk e-mail, or other security settings or for entrants’ provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Sweepstakes; by any human error which may occur in the processing of the entries in this Sweepstakes; or any typographical, technological, or other error in the publishing of the offer, administration of the Sweepstakes, or announcement of the prizes. If, in the Sponsor’s opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the Sweepstakes, or if technical difficulties (including viruses and bugs) compromise the integrity of the Sweepstakes, Sponsor, in its sole discretion, reserves the right to cancel or modify this Sweepstakes. In the event of termination, winners will be selected from among all eligible entries received as of date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the online entry form.
- PRIZES: Each winner will receive one ( 1 ) ticket to Webflow Conf, either in San Francisco or London. If the winner cannot attend either event, they will receive a $200 credit to the Webflow merch store. Total prize value varies based on the event location and merch store credit. Prize consists of only those items specifically listed as part of the prize. Limit one prize per family or household. No substitution or transfer of prize permitted by winners. Sponsor reserves the right to substitute a prize of equal or greater value. All prizes will be awarded.
- PUBLICITY: By competing in the Sweepstakes, you agree: (i) that Sponsor and its agencies may use your name and/or likeness and materials you submit for advertising and promotional purposes without additional compensation, unless prohibited by law; and (ii) to hereby waive any claims that you may have against Sponsor in connection with any such usage.
- ADDITIONAL DISCLOSURES: Sweepstakes are in no way sponsored, endorsed or administered by, or associated with, any social media platforms where it is promoted or connected to entry, including but not limited to Twitter, Facebook, Instagram, TikTok, or any other third party platform where entry may occur.
- INTELLECTUAL PROPERTY RIGHTS: By participating in the Sweepstakes you represent and warrant that you have the right to use the intellectual property you utilize during the Sweepstakes (“Content”). Further, if you own or are deemed to own any of the Content, you agree that as a condition of participation in this Sweepstakes, you hereby grant Webflow a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, publicly perform, publicly display and create derivative work(s) from, any of the Content. You specifically agree that Webflow shall have the right to use, reproduce, publicly perform, and publicly display the Content in connection with advertising and promotion of the Sweepstakes, including, but not limited to the right to make screenshots, animations, and video clips available for promotional purposes.
- CHOICE OF LAW AND FORUM: Entrants agree that all matters arising out of or relating to these Sweepstakes and these terms are governed by, and construed in accordance with, the laws of California, without giving effect to any of its conflict of laws provisions thereof. Entrants further agree that any legal suit, action, or proceeding arising out of or relating to these Sweepstakes and these terms shall be brought exclusively in the applicable federal or state courts located in San Francisco, California.
- PRIVACY: If you participate in any Sweepstakes, we, Webflow, Inc., 398 11th Street, San Francisco, CA 94103, collect the personal information that you submit with your entry into the Sweepstakes. This personal information may include your name, username, submission, contact information, and photo. We use it for the purposes of administering the Sweepstakes in accordance with these terms, and exercising or discharging Webflow’s rights and obligations under applicable law. Your submission will be visible to all users of the service to which you posted your submission. We disclose personal information to our service providers in the U.S. who process it only on our behalf and are subject to confidentiality agreements and other appropriate data protection measures.
