Collective Fund Terms & Conditions

Thank you for your interest in the Webflow Collective Fund Program (as defined below). Please read these Collective Fund Program Terms and Conditions (the “Terms”) carefully as they  govern the submission of application(s) for a Webflow Collective Fund Program grant (“Grant”).

By clicking on “I agree” (or a similar box or button to evidence your agreement) or when you submit an Application to the Webflow Collective Fund Program, you accept and agree to be bound by these Terms. If you don’t agree to be bound by these Terms, then do not submit an Application. These Terms are between (1) Webflow, Inc. inclusive of its affiliates, (“Webflow,” “we” or “us”) and (2) either the entity you accept these Terms on behalf of, or you in your individual capacity, as applicable (in either case, “Grantee” “you” or “your”). 

You can view the current version of these Terms at any time at webflow.com/legal/collective-fund. We reserve the right to modify, update, or change these Terms from time to time; provided that when we make any material changes to these Terms, we will update the Version Date at the top of this page. You acknowledge and agree that your continued participation in the Webflow Collective Fund Program after the effective date specified in any such updates constitutes your agreement to the updated Terms. 

For the avoidance of doubt, (1) any reference to these “Terms” includes all the documents, links, and addenda referenced herein (including by way of example only Webflow’s Global Privacy Policy,, as all are defined herein); and (2) such documents, links, and addenda are all incorporated by reference into these Terms.

1. Definitions

“Application” means the application you submit to Webflow to request a Grant for an applicable project under the Collective Fund Program.

“Collective Fund Program” means the program offered by Webflow that is designed to support individuals and organizations creating projects that benefit the Webflow community.

“Feedback” means any non-confidential comments, ideas, or feedback about Webflow’s Program and/or Webflow’s Platform submitted by Grantee to Webflow, including without limitation any suggestions related to improving the Program or Webflow’s Platform.

“Global Privacy Policy” means the policy available at https://webflow.com/legal/privacy.

“Platform” means Webflow’s software-as-a-service website design and development platform and its related products or services.

“Webflow Collective Fund Grant Agreement” means the agreement between you and Webflow that states the terms and conditions of your grant award.

"Your Content" means your Application, content, materials, templates, designs, code, comments, and other information you submit, provide, or make available to Webflow through the Program.

2. Changes to the Collective Fund

We may change or discontinue all or any part of the Webflow Collective Fund program, at any time and without notice, at our sole discretion.

3. Purpose and Eligibility

  1. ‍Purpose and Objectives. The Collective Fund Program is designed to support individuals and organizations to bring ideas to life through dedicated funding for events, projects, education, and innovation that benefit the wider Webflow community and ecosystem. Through this Program, Webflow provides financial support to selected applicants.‍
  2. Eligibility. You may submit an Application only if you are 18 years or older, capable of forming a binding contract with Webflow, not otherwise barred from doing so under applicable law, and are allowed to use Webflow Community.  Please note that if you are not eligible, we will not review your Application. You must not be located in, or a national or resident of, any country subject to U.S. trade sanctions or export restrictions and must not be on any U.S. government denied-party list.

4. Applications; Grant Awards 

  1. You may submit an Application for a Grant through the application website. Please refer to this page for more information about Application requirements and how to submit your Application.
  2. We retain sole and absolute discretion to determine whether to accept an Application and award a Grant or not, and our decision will be final. We may request you to provide additional information to review your Application. If your Application is accepted and you are selected as a Grant recipient, we will notify you via email and you will be required to enter into a separate written grant agreement with Webflow.‍
  3. You are solely responsible for your Application, including all content (such as text, graphics and images) included therein (collectively, “Your Application”). Webflow does not claim any ownership rights in Your Application and nothing in these Terms will be deemed to restrict any rights that you may have to Your Application.
  4. By submitting Your Application, you hereby grant to Webflow a non-exclusive, transferable, worldwide, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform Your Application for purposes of reviewing Your Application and operating and marketing the Collective Fund program. You agree that Webflow has no obligation to provide any compensation to you for Your Application or the license granted herein.
  5. You understand that (i) Webflow may currently be developing, have developed or in the future will develop ideas, themes, concepts or materials internally or receive ideas or materials from other parties (including other Grant applicants) that may be similar to Your Application; (ii) Webflow does not waive any rights to use similar or related ideas, themes, concepts or materials previously known to Webflow, or developed by its employees or contractors, or obtained from sources other than you; (iii) Webflow has no obligation to conduct intellectual property related searches or review its files, records or catalogues for comparison with Your Application; and (iv) in light of the foregoing, nothing in these Terms may be construed against Webflow to mean, or deemed an admission by Webflow, that Your Application is unique or novel. Without limitation, Webflow shall have the right to develop, market, produce, and sell any product or service itself or through arrangements with third parties, with no obligation to you whatsoever.

5. Webflow’s Intellectual Property

‍Webflow retains all rights, title, and interest in the Program, its Platform, Webflow trademarks, its Intellectual Property, and any content provided by Webflow. You may not use Webflow's trademarks without prior written permission. Webflow does not grant any license, express, or implied, to the Intellectual Property of Webflow or its licensors under the Program, including but not limited to Webflow’s platform and Webflow trademarks.Nothing in these Terms grants you any rights or licenses to Webflow's Intellectual Property except as expressly stated in the Webflow Collective Fund Grant Agreement. 

6. Privacy

‍Your participation in the Program is subject to Webflow's Global Privacy Policy. By participating in the Program, you consent to the collection and use of your information as further described in the Global Privacy Policy.

7. Feedback

You may choose to, but are not obligated to, submit Feedback to Webflow. You agree that for any Feedback you provide, you hereby assign to Webflow all right, title, and interest in and to such Feedback, and Webflow is free to reproduce, disclose, and otherwise use the Feedback without attribution, payment, or restriction of any kind.

8. Indemnification

‍You agree to indemnify, defend, and hold harmless Webflow and its officers, directors, employees, affiliates, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) Your Content; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of applicable laws.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

  1. ‍DISCLAIMERS. THE COLLECTIVE FUND PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WEBFLOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WEBFLOW DOES NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.‍
  2. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBFLOW'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE COLLECTIVE FUND PROGRAM SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL WEBFLOW BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
  3. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN WEBFLOW AND YOU.

10. General Terms

  1. ‍Entire Agreement. These Terms constitute the entire and exclusive understanding and agreement between Webflow and you regarding your Application, and, subject to the following sentence, these Terms supersede and replace all prior oral or written understandings or agreements between Webflow and you regarding such subject matter. These Terms do not impact any other written agreement between you and Webflow, such as for use of the Webflow Platform or Webflow Community.  If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. Except where provided by applicable law in your jurisdiction, you may not assign or transfer these Terms, by operation of law or otherwise, without Webflow’s prior written consent. Any attempt by you to assign or transfer these Terms absent our consent or your statutory right, without such consent, will be null. Webflow may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.‍
  2. Governing Law. These Terms will be governed by the laws of the State of California without regard to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed. ‍
  3. Notices. Any notices or other communications provided by Webflow under these Terms will be given: (i) via email; or (ii) by posting to this website. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.‍
  4. Waiver of Rights. Webflow’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Webflow. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.Miscellaneous
  5. Miscellaneous. The parties are independent contractors, and there is no relationship of partnership, joint venture, employment, franchise or agency created hereby between the parties. Nothing in these Terms, express or implied, is intended to or shall confer upon any person or entity (other than the parties hereto) any right, benefit or remedy of any nature whatsoever under or by reason of these Terms. Any and all waivers must be in writing and signed by both parties, except as otherwise provided herein. Titles and headings of sections of these Terms are for convenience only and shall not affect the construction of any provision of these Terms. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts in San Francisco County, California, and the parties expressly consent to personal jurisdiction and venue therein. In any action or proceeding to enforce rights under these Terms, the prevailing party will be entitled to recover its reasonable costs and attorneys’ fees.
